We have a Master Technology Agreement that we use with some of our clients. We have one prospect that is interested in some of our services but right now we are dealing with a lawyer who is just unreasonable - we do not want to loose the business but we also cannot agree to the terms the lawyer wants - any suggestions?

I would suggest you contact the business person you are dealing with and explain your position.

I agree I would contact the business person you are dealing with many lawyers are over zealous and just will not move on some items. I would also try to get some of the differences down on paper so you can frame it accordingly with the business prospect. Make sure the business person knows that you have not run into anyone who has had any issues with these terms before (if it is true)

I would ask the business person to engage in the conversation with the attorney and start with the points that you can give in on and demonstrate to the business person you are flexible - then when you come to a point you wont give in on make sure you reflect about how much you went with this document.

I agree with Business Watch you need to demonstrate how flexible you are and how ridiculous the lawyer is. If you provide a service that few provide just say I am sorry but I cannot accept these terms. Over the last ______ years we have never been asked to make these types of changes and if they are that important to you unfortunately we cannot do business. If you are in demand - watch the business person bend.
