Dissolving LLC Member??

Hello, I'm new to the forum! I have a question; but first a little background;

I am a member of a 4 member LLC, we started up about 9 months ago and we have had the normal ups and downs of a startup company but one of our members now wants out. We have not profited at all yet, but each have contributed funding. This member is willing to step out if we take the remainder of his debt, (we want him out...). we are each at 25%.

My question is, do any of you know where I can get a contract/agreement etc. online for a reasonable price that deals with dissolving one member from this LLC? We don't have the money for attorneys and all the major stuff, we simply need to dissolve this member so that the agreement simply states; he owes nothing further to the business and the business owes him nothing in the future if it profits.

Hi!
I don't know where you're located, I'm in Massachusetts and the government here has setup a website to help people through corporate filings, this is the website they did http://www.sec.state.ma.us/cor/coridx.htm maybe your state government has something like it?

In these troubled economic times, I receive as many queries regarding dissolution of LLCs as initial organization. It comes as something of a shock to some business owners when presented with the steps necessary to legally dissolve their US based LLC. 1. Member vote to dissolve;
2. Adoption of plan of dissolution;
3. Actual winding up of business;
4. Obtaining a tax clearance letter from the state taxing authority and
5. Filing certificate of dissolution with Secretary of State's office (for state where your LLC was organized).
