Business Partner Trying to Steal In-House Project

Hello

I have been running a web development firm the past 4 years. I have had problems with my business partner for awhile, he is suppose to handle most of the technical aspects and development when we get a job. However I often find myself managing our designers/coders. It's coming to a point where he has missed deadlines on our last 6 projects and nearly got us sued twice for going way over the contract date.

It's very embarrassing on my part and I've done everything I can to make sure stuff gets done on time. If I try and hire someone to finish up work he'll not even bother communicating with them and not even create them an account on the server, and if he does it takes him weeks. I've tried talking to him many times, and tried every alternative I could think of.

So lately, he's been threatening to walk off with everything that he's ever developed in our partnership. Including all our in-house projects. I put in a large capital investment for a designer/coder and for a project manager in the beginning of the project, but now a year later he says that never counted as anything because the project has evolved.

We even took out a loan to work on this in-house project awhile back, but he told me he had no money and we almost ran into very big legal trouble due to this, so I paid off the entire loan myself, it took me a few weeks of working my a*s off and I had to get a second job to do it but I managed.

So what can I do, I can't afford a lawyer at this point and I don't want him walking off with our in-house projects and our clients websites. Any help at all would be greatly appreciated!
