Seed Structure

I am trying to raise seed money of 15-50k for the first round. How should I structure the sale, stock certificates? Thanks for your help!

You need to have an agreement in place that outlines the deal. It is so variable for each business it is hard to give you specific advice but one of the most important things you are going to need to do is value the business, if it is just a concept than you are going to have to have some pretty strong numbers.

You may not even have to give away some of your business if you find a white knight - someone who really does not have an interest in the business and will not get involved - they may be willing to give you a loan at a reasonable interest rate. If possible I would not try to give part of the business away.

I would go to the small business administration and see if you qualify for a loan. If you think you have a blockbuster winner - why share it with an investor?

You really need to know the value of your business before you can structure an equity business. Is it just a hope? Do you have strong EBITDA? What is your revenue growth? These are the types of questions you need to share in order for us to help you.

Following tips are important to increase your seed structure:
Customer Validation & Traction.
Show that You Can Bootstrap.
Be Prepared to Tell a Compelling Story.
Pitch to as Many Potential Investors as Needed and Create Urgency.
