Help in starting ecommerce business?

Hello there! Sorry if any of this feels skewed or out of place, but that pretty much sums up how things have been going for me, as of lately. I'm in the process of starting up my own ecommerce business and I was wondering if there was place online, for me to get assistance in setting up the business (or legal) side of things?

Most of what I've found on the internet is information on creating a business plan. I understand that business plans are helpful when presenting your idea to investors, but I have saved up enough money on my own to buy supplies, purchase a domain, and from what I believe… start this adventure all on my own.

I’ve heard tons of different things… suggestions flying from all corners. I called a lawyer one day and he told me that it was the law that we pay him, or somebody like him, to check over our website before our company opened. I guess with things such as “terms and conditions”, his services may be necessary after all? BUT I’ve also heard others say that wasn’t necessary, since internet regulations were different and I just need a business license. BUT how do business license change, if at all, if we’re referring to ecommerce?? I don’t know who or what to believe anymore?? I have read all sorts of things over the internet, a list of tricks such as people registering their businesses in states like Nevada and Delaware for tax purposes. I don't know if I need to go to either of these states to register in-person, what paperwork I’ll need and how it affects me, as an inconvenience, if my business does not operate out of either state (I’m in Virginia)???

There seems to be a lot of companies out there willing to help and I don’t know if any of it is worth it? I did find this one website, offering to file my business in Nevada, fill out the proper paperwork and get my “corporation” registered within a few days. Is this legit? Is it cheaper than hiring a lawyer??? Would I still need a lawyer? What are the effects of not having one?

I’m ready to go and probably inpatient but I don’t want to throw out tons of cash to a lawyer or website scam, only to later find there was a much cheap and practical approach.

In my country, Nigeria, our lawyers and tax consultants are not yet vast with the internet. You pay your yearly tax based on your annual income. Why not see a tax consultant in your state to advice you.

Thanks for the info.

Before settling on a business idea, scope out your would-be competitors. Visit their websites and compare the following:

· Professional Look & Feel

· Products and Services

· Search Engine Ranking

· Page Rank (Available on the Google Tool Bar)

· Keywords

· Back Links (how many sites link to them).

You’ll need to know your competitor’s websites inside and out. Spend some time exploring each one. This will give you an idea of what you’re up against. Keep in mind, that your website will need to be equally as professional or better than theirs. Don’t worry if you don’t think you have the technical skills necessary to create a professional website. Here I'm Sharing With You Some Of The Point which You have ToKeep in Mind Before Starting a New E-Commerce business.:
The type of structure you choose for your business requires the same analysis you would go through for any business. First, do some research into the various forms of legal and tax business structures available. Your business can be a sole proprietorship, a partnership, a limited liability partnership, an LLC, or an S or C corporation. Each has different legal and tax consequences that you should be sure you understand. You can talk to an accountant and a lawyer, or you can take the risks of doing the research and formation on your own and then fix mistakes later when your business has enough revenues.

In most cases, you should pick a structure that gives your business a separate legal and tax identity from yourself. This allows you to be sure that for tax and legal purposes, the money and acts of your business are separate from your own. For example, if the users of your dating service sue you because a fellow user posted libelous information and you lose, the company's assets can be taken, but not your personal assets; the losses from the lawsuit would be deducted on your company's tax statements, not your personal one. A sole proprietorship means that a person does business as himself--which means that legally and for tax purposes, you are one entity. Many businesses start as sole proprietorships and then change their structure later.

If you plan to seek capital from outside parties, as many e-commerce businesses do, the preferred entity of most investors and VCs is the C corporation, which is the standard corporation formed. LLCs, Limited Partnerships and other entities are not favored due to the variation in rules between states and because they lack the legal structure of shareholders, a board of directors and officers, which are standard components of investment. If you have less than 35 shareholders, you'll probably want to elect to be an S corporation for tax purposes. You must file the election form 2553 within a short time after incorporating, so be sure to check with the IRS regarding the filing and the deadlines. If you need to expand beyond 35 shareholders in the future, you can change your tax status back to a C corporation to do so.
